1. Introduction
The Founding Founders Programme is an early-adopter programme operated by TechService as part of the TechService Business OS ecosystem.
The programme is intended to give qualifying customers and businesses an opportunity to adopt selected Business OS engines under special founding participation terms.
Depending on the participation path selected, participants may receive either a discounted subscription or a commercial-use software licence with a defined update entitlement.
By registering for, subscribing to, purchasing, activating or using a product under the Founding Founders Programme, the participant agrees to these Terms & Conditions together with the applicable product, subscription, purchase and/or licence terms.
Product-specific functionality, pricing, technical requirements and deployment conditions may differ between Business OS engines. Where product-specific terms apply, those terms should be read together with these programme Terms.
2. Programme Structure
The Founding Founders Programme currently provides two principal participation paths.
Founding Customer
A subscription-based option that provides access to the selected Business OS engine at the applicable founding subscription price for the stated founding period.
Founding Business
A commercial-use licensing option for an approved business that wishes to use a selected Business OS engine under a defined licence and update entitlement.
The two paths are legally and commercially different. A participant should select the path that corresponds to the rights they actually require.
3. TechService Business OS & Its Engines
TechService Business OS is designed as a configurable business operations platform capable of supporting different types of business activities through dedicated engines.
Depending on the applicable product, the Business OS architecture may support capabilities such as local-first operation, offline workflows, LAN multi-terminal operation, synchronization when connectivity is available, staff and role management, and multiple business locations or outlets.
These capabilities are product features and should not be interpreted as automatically granting a participant unlimited licensing rights.
3.1 Current Engines
- Sales & Inventory / POS Engine — designed for point-of-sale, inventory and retail operations.
- Accommodation / Lodge Engine — designed for hotel, lodge and accommodation operations.
- Consultation & Services / Consult Engine — designed for consultation, client booking, appointment and service operations.
A subscription or Founding Business licence for one engine does not automatically grant a subscription, licence or ownership rights to another engine.
For example, purchasing a Founding Business POS package does not automatically include the Lodge or Consult engines unless TechService expressly provides otherwise in writing.
4. Founding Customer Subscription
The Founding Customer path is a subscription arrangement.
It is not a one-time purchase of the software and does not transfer ownership of the software, source code, intellectual property or underlying technology to the customer.
4.1 Founding Subscription Price
Under the current programme structure, eligible Founding Customers receive a founding subscription price for the applicable engine.
The current founding price represents approximately 50% of the standard subscription price for the applicable engine for 24 months.
The applicable price is determined by the selected engine and the pricing displayed by TechService at the time of subscription.
4.2 Trial
Where a current product signup flow provides a trial, the participant may evaluate the applicable product before continuing with the relevant subscription or purchase process.
Current Business OS signup flows may provide a 14-day trial. The terms displayed during the applicable signup process govern the specific trial and subsequent transaction.
4.3 Founding Period
The founding subscription price is currently applicable for 24 months, subject to the applicable subscription terms.
After the founding period, continued subscription access may be offered under the standard pricing and subscription terms applicable at that time.
4.4 Subscription Continuation
Continued access to a subscription-based engine is subject to the applicable subscription remaining active and the customer's compliance with the relevant payment and service conditions.
The end of the founding price period does not by itself transfer ownership of the software to the customer.
5. Founding Business Commercial-Use Licence
The Founding Business path is intended for an approved business that wants to use a selected TechService Business OS engine under a defined commercial-use software licence.
5.1 Nature of the Licence
Subject to payment, approval and compliance with the applicable terms, TechService grants the approved business a limited, non-exclusive and non-transferable commercial-use licence for the selected Business OS engine.
The licence permits the approved business to use the selected software for its legitimate business operations within the scope of the applicable product, package and licence terms.
5.2 No Software Ownership
Purchasing a Founding Business package does not constitute the purchase or transfer of ownership of the TechService software.
Unless TechService expressly agrees otherwise in a separate written agreement, all ownership rights in the software, source code, architecture, binaries, proprietary systems, trademarks, documentation and related intellectual property remain with TechService or the applicable rights holder.
5.3 Selected Engine
A Founding Business package applies to the selected Business OS engine identified during the applicable purchase or activation process.
The purchase of one engine does not automatically create licensing rights for other current or future engines.
6. Current Founding Business Pricing
Founding Business pricing is determined by the selected Business OS engine and the update entitlement included in the package.
The following reflects the current programme structure at the Effective Date of these Terms.
| Engine | 24 Months | 12 Years | Extended |
|---|---|---|---|
| POS | ₦150,000 | ₦600,000 | ₦2,500,000 |
| Lodge | ₦200,000 | ₦700,000 | ₦2,700,000 |
| Consult | ₦200,000 | ₦700,000 | ₦2,700,000 |
The prices above describe the Founding Business packages available under the programme at the Effective Date. The applicable order, confirmation or licence agreement governs the transaction actually purchased.
Founding Customer subscription pricing is separate from the Founding Business package pricing.
7. Founding Business Update Entitlements
A Founding Business package includes an update entitlement corresponding to the package purchased.
An update entitlement describes the period during which the selected engine is covered by the applicable programme update commitment.
| Package | Update Entitlement |
|---|---|
| Founding Business — 24 Months | Updates for the selected engine during the applicable 24-month entitlement period. |
| Founding Business — 12 Years | Updates for the selected engine during the applicable 12-year entitlement period. |
| Founding Business — Extended | An extended update entitlement governed by the applicable package and licence agreement. |
An update entitlement determines the period covered by the applicable update commitment. It does not grant ownership of the software, source code, architecture or intellectual property.
The exact scope of updates may depend on the selected engine, package, technical compatibility, supported environment and applicable product terms.
8. Intellectual Property
TechService and its applicable licensors retain all rights, title and interest in the software and associated intellectual property.
This may include, without limitation:
- source code;
- compiled binaries and executable software;
- application architecture;
- databases and software components;
- synchronization technology;
- APIs and proprietary integrations;
- user-interface designs;
- documentation;
- trademarks and branding; and
- other proprietary technology developed or used by TechService.
Participation in the Founding Founders Programme does not constitute an assignment of these rights.
9. Permitted Use
Subject to the applicable product, subscription and licence terms, a participant may:
- use the selected Business OS engine for legitimate business operations;
- use supported features made available for the selected engine;
- configure supported settings for its business;
- enter and manage its own legitimate business information and operational data;
- use supported integrations where available; and
- use the software within the scope of the rights granted by the applicable subscription or licence.
Permitted use remains subject to applicable payment obligations, security requirements, technical requirements, applicable law and these Terms.
10. Prohibited Use
Unless expressly authorized by TechService in writing, a participant must not:
Nothing in this section is intended to prohibit an activity that applicable law expressly permits and that cannot lawfully be restricted by agreement.
11. Business-Specific Licence Scope
A Founding Business licence is associated with the approved business identified during registration, purchase or activation.
The licence is not automatically transferable to another company, unrelated business, third-party operator or newly created legal entity.
11.1 Business Changes
If the legal identity, ownership structure or operating identity of the approved business changes materially, TechService may require the participant to contact TechService so that the continued applicability of the licence can be determined.
11.2 Additional Rights
Additional business entities, deployments, branches, integrations, licensing rights or other expanded use may be subject to additional terms, fees or a separate written agreement.
A Business OS engine may technically support multiple terminals, local networks, outlets or other operational configurations. Such technical capability does not by itself expand the contractual scope of a participant's licence.
12. Business Closure & Termination
12.1 Closure of the Approved Business
A Founding Business licence is granted for the approved business for which the licence was issued.
If the approved business permanently folds, permanently ceases operations or otherwise ceases to exist as an operating business, TechService may terminate the associated Founding Business licence, subject to the applicable written agreement and applicable law.
12.2 Breach of Terms
TechService may suspend or terminate applicable access or licensing rights where a participant materially breaches these Terms, violates the applicable licence conditions, fails to satisfy applicable payment obligations or uses the software outside the rights granted to the participant.
12.3 Unauthorized Transfer
An unauthorized transfer, resale, sublicensing or redistribution of the software or licence may constitute a material breach and may result in suspension or termination.
12.4 Effect of Termination
Following termination, the participant must cease any use of the software that is no longer authorized under the applicable agreement.
Termination does not transfer ownership of the software or intellectual property to the participant.
The business-closure provision concerns the approved participating business. It should not be interpreted as a statement that TechService itself is required to remain in operation for any particular period.
13. Updates & Maintenance
During an applicable active subscription or update entitlement, TechService may release software updates, bug fixes, improvements, security corrections and new functionality for supported products.
Updates are subject to technical compatibility, supported environments and the development and maintenance of the applicable Business OS engine.
Not every update or feature will necessarily be available for every device, operating environment, integration, configuration or deployment.
TechService may modify, replace, improve or discontinue individual features where reasonably necessary for product development, security, compatibility, legal compliance or operational reasons, subject to applicable contractual obligations.
13.1 Expiration of Update Entitlement
When a Founding Business update entitlement expires, the participant does not acquire ownership of the software.
Any continued use, maintenance, renewal, additional updates or support after the entitlement period is governed by the rights and terms then applicable to the selected engine and licence.
14. Data & Customer Responsibility
Participants remain responsible for the accuracy, legality and appropriate management of the business information and operational data they enter, upload, process or otherwise manage through the applicable Business OS engine.
Businesses are responsible for maintaining appropriate internal access controls, credentials, operational procedures, records and business continuity practices.
Depending on the selected engine and deployment, TechService Business OS may provide local operation, offline functionality, LAN connectivity, synchronization and other data-related capabilities.
The availability and behavior of such capabilities may vary between engines and deployment configurations.
Businesses should maintain appropriate backups of important business information in accordance with their operational requirements and risk-management practices.
Nothing in these Terms transfers ownership of a participant's legitimate business data to TechService.
Data handling remains subject to the applicable product architecture, privacy requirements, service terms and applicable law.
15. Future Business OS Engines
TechService may introduce additional industry-specific engines as part of the Business OS ecosystem.
Participation in the Founding Founders Programme does not automatically grant a participant a subscription, licence or free access to every future engine.
Each future engine may have its own:
- pricing;
- subscription plans;
- Founding Customer terms;
- Founding Business packages;
- update entitlements;
- technical requirements;
- deployment conditions; and
- licence conditions.
Unless TechService expressly states otherwise, the launch of a new Business OS engine does not modify or expand an existing participant's subscription or Founding Business licence.
16. Changes to the Programme
TechService may modify, improve, replace, suspend or discontinue aspects of the Founding Founders Programme for future participants.
Changes may include changes to programme availability, future pricing, eligible products, participation methods or newly introduced engines.
Changes intended for future participants do not automatically rewrite a completed transaction or existing applicable licence agreement.
Where an existing participant has specific contractual rights under a separate written agreement, that agreement will govern those rights to the extent required by its terms and applicable law.
17. Acceptance of These Terms
By registering for, subscribing to, purchasing, activating or using a product through the Founding Founders Programme, the participant confirms that they have had an opportunity to review these Terms & Conditions and agrees to comply with them.
Where additional product-specific terms, order details, subscription conditions or written licence agreements apply, those terms form part of the applicable arrangement and should be read together with these programme Terms.
Founding Customer means a discounted subscription for the applicable Business OS engine.
Founding Business means a commercial-use software licence for the selected Business OS engine.
A Founding Business package includes the update entitlement stated for that package.
Update entitlement does not mean software ownership.
Neither programme path transfers ownership of TechService software or source code.
A licence for one Business OS engine does not automatically grant rights to other current or future engines.
18. Programme & Engine Links
Participants should review the applicable programme and product page before subscribing or purchasing a Founding Business package.
